CHARTER OF FUNDATION "HOUSE & ENERGY" IN SZCZECIN.

 

SECTION I

GENERAL DECISION

Foundation name is "FOUNDATION HOUSE & ENERGY", called late Foundation, set up by notarial prepared act by notary of Grzegorz Wójtowicz in Notarial Office in Szczecin in day of 3 December 2001. List And number 16995/2001, 1984 happened on basis of regulations of law from day of 6 April about foundations. (Diary of Laws of 1991, no. 46, position 203 with late changes) and on decisions of present Charte.

Foundation possesses legal personality.

Head office of Foundation is in Szczecin.

  1. Area of Poland is terrain of activity of Foundation.
  2. For proper realizing of social aims and economic Foundation to lead activity maybe beyond borders of Poland.

Foundation uses round stamps with inscription in rim, demonstrative her name and head office.

Foundation can set up badges and honourable medals as well as to admit it, alongside with with different prizes and distinctions, physical persons and legal just for peeled aims through Foundation or for myself Foundation.

AIMS AND RULES OF WORKING OF FOUNDATION

It is aim of Foundation:

Foundation realizes one's aims by:

  1. Organization and funding:

  1. Co-operation with public institutions and out of govermment acting organizations in range hugged aim of Foundation as well as national co-operation and foreign with institutions, physical persons and legal interested aims of Foundation.

PROPERTY AND EARNINGS OF FOUNDATION

Property of Foundation makes up founder fund 1000,00 in sum pln. (one thousand pln) as well as financial resources, immobilities and acquired movabilities through Foundation in course of her of working.

Foundation answers whole one's property for one's obligations.

Earnings of Foundation come from in peculiarity:

  1. donations, falls, records,

  2. subsidy of legal persons,

  3. earnings from meetings and public events,

  4. earnings from motionless property and movable,

  5. earnings from economic led activity through Foundation.

Earnings from subsidy, donations, falls and records can be used onto realization of every aims of Foundation, about ile donor they did not decide differently.

SECTION IV

ADMINISTRATION OF FOUNDATION

They are administration of Foundation:

Sponsors or them representatives create advice of Foundation, about ile they have central (place of residence) on area of Poland and under condition, that (place of residence) on area of Poland written announcement about intention of taking of part in works Radium will fold in front of outflow of one month from date of obtainment of title of Sponsor of Foundation or obtainments of central.

Advice takes activity, if in her works gang part what can least three Sponsors. In opposite case Board stands up only organ of Foundation.

Advice is organ about authorizations, advisory and supervisory.

Advice chooses Radiums of Foundation from one's team of President, Vice-chairman and Secretary.

Advice works on sessions, be hold which seldom depression two times in year.

In sessions representative of Board of Foundation participates Radiums.

Resolution Radiums drop usual by the majority of votes without regard onto number of present members, with this, that required presence of President and Vice-chairman is.

To assignments one should Radiums:

  1. occurrence with relate conclusions of activity of Foundation,

  2. opinion of greatly years and yearly programmes of working of Foundation,

  3. expression of opinion in submitted matters of her through Board,

  4. investigation of yearly reporting of Board of Foundation,

  5. taking of resolutions in shew matters in §33, 42, 45, 47 and 48 present Charter.

Board of Foundation folds from two persons and it is appointed onto nodefinite time through Founders.

Founder can become member of Board.

Founders, acting together, right of dismissal of Board serves or every from him of members in every time.

Board chooses from one's team of President and Vice-chairman.

To Board one should taking of decision in everybody matters no reserved to competence Radiums of Foundation.

To assignments of Board one should :

  1. representing of Foundation outside,

  2. resolving wieloletnich and yearly programmes of working of Foundation,

  3. holding of board property of Foundation,

  4. interception of subsidy, donations, falls and records,

  5. establishing of regulation of Office of Foundation,

  6. create and drift of institutions of Foundation and different her organizational individuals,

  7. appointing and dismissing of manager of Office of Foundation as well as different fulfiling persons of managerial position and independent in individuals of organizational Foundation,]

  8. establishing of height of employments, rules of rewarding as well as sizes of resources onto rewards and prizes for workers of Foundation of workers in statutory activity as well as in economic activity,

  9. taking of decision in object of change of charter of Foundation as well as it liquidation.

Board can appoint, as one's advisory body, Program Committee.

  1. Members of Board can stay with Foundation in relation of work.
  2. Founders define reward of members of Board.

Board takes resolutions usual by the majority of votes , at what is to required of resolution validity presence what least half of his members, in this of President and Vice-chairman.

To folding of announcements it prefers authorized jednoosobowo is in range of rights and duties of properties' Foundation as well as signing of contracts and obligations and name of Foundation every from members of Board.

 

 

SECTION V

ECONOMIC ACTIVITY OF FOUNDATION

Foundation can lead in country and behind border, in accordance with valid regulations, economic activity in range:

  1. publication of magazines and periodic publishing (PKD 22.13.Z),

  2. production of remaining machines of general destination, where else where no classified (PKD 29.24),

  3. production of electric engines, dynamoes and transformers (PKD 31.1),

  4. production and distribution of electric energy (PKD 40.10),

  5. making of the electric installation in the buildings (PKD 45.31.A0),

  6. making of other electric installation (PKD 45.31.D),

  7. making of installation of the central heating and ventilate (PKD 45.33.A),

  8. other forms of education, where else where no classified (PKD 80.42).

From property and earnings of Foundation Board intends, into measure of need, onto leadership economic activity, resources from no more depression of field founder's fund, from bank percentages from founder's fund as well as from got earnings from economic activity.

Led of Foundation economic activity is organizacyjnie distinguished in form - through institutions and different organizational individuals, called further "institutions".

  1. Range defines workings of institution as well as range of authorizations and duties of managers of institutions resolved of institution organizational regulation through Board.
  2. Manager of institution jednoosobowo directs institution, bearing for results of work of institution responsibility in front of Board of Foundation and he, with restriction of content §31 point 7 present Charter, it executes assignments of employer in understanding of Code of Work.

Board establishes sizes employments as well as size of falling resources onto rewards of workers of individual institutions.

 

 

SECTION VI

CHANGE OF CHARTER

Change of charter can not concern essential changes of aim of Foundation.

Board of Foundation takes decisions in object of change of charter in road of unanimous resolution, at what resolution this demands confirmations through Advice of Foundation.

 

 

SECTION VII

FINAL DECISION

For effective realizing of one's aims Foundation can join with different Foundation.

Connection can not follow, if into him of result aim of Foundation can undergo essential change.

 

§45

Board of Foundation takes decision in object of connection in road of unanimous cut resolution after introduction oneself with position of proper minister, at what resolution this demands confirmations through Advice of Foundation.

 

§46

Foundation undergoes liquidation in time of achievement of aims, for which she became qualified, or in time of fag oneself her of financial resources and property.

 

§47

Board of Foundation takes decision in object of liquidation of Foundation in road of unanimous resolution, at what resolution this demands confirmations through Advice of Foundation.

 

§48

They stayed property it passes itself on with restriction of content of art after liquidation of Foundation. article 5 paragraph 4 law about foundations, institutions, which activity answers aims of Foundation, indicate through Advice of Foundation.

Charter comes in in rye with day of registering of Foundation in National Judicial Register.
